Terms and Conditions

  1. General 1.1. Unless otherwise expressly agreed in writing by Regton Ltd ("the Seller"), the goods (the “Goods”) are supplied subject to these terms and conditions of sale (“Conditions”), which shall govern the contract between the buyer (the “Buyer”) and the Seller (the “Contract”) to the exclusion of any other terms and conditions. No variation of these Conditions shall be binding unless agreed in writing by both parties.
  2. Warranties and Liability 2.1. The Seller warrants that if any fault in the Goods due to faulty workmanship or materials is proven and the Goods are returned to the Seller within twelve (12) months of their purchase, the Seller will, at its discretion, repair or replace the faulty Goods at its own cost. This warranty is in addition to the Buyer’s statutory rights under the Consumer Rights Act 2015. 2.2. Except as provided under the Consumer Rights Act 2015 and other applicable legislation, all other express or implied warranties, conditions, or terms are excluded to the fullest extent permitted by law. 2.3. The Seller's employees or agents are not authorised to make any representations concerning the Goods unless otherwise confirmed by the Seller in writing. In entering into the Contract, the Buyer acknowledges that it does not rely on, and waives any claims for breach of, any such representations which are not so confirmed.
  3. Inspection and Acceptance of Goods 3.1. The Buyer shall inspect the Goods within fourteen (14) days of their delivery or collection from the Seller’s premises and shall notify the Seller in writing of any alleged defects or non-conformance with the Contract within this period. If the Buyer fails to provide such notice, the Goods shall be deemed to be in all respects in accordance with the Contract, and the Buyer shall be bound to accept and pay for the same accordingly.
  4. Delivery 4.1. The Seller will make every reasonable effort to meet the quoted delivery times; however, these times are estimates only, and the Seller does not accept liability for any delays in delivery. 4.2. The Seller may deliver the Goods in instalments. Each instalment shall be treated as a separate contract, and any delay or defect in any instalment shall not entitle the Buyer to cancel the remainder of the Contract. 4.3. The Seller may deliver less than the quantity of Goods ordered without the Buyer having the right to reject the Goods by reason of short delivery.
  5. Title and Risk 5.1. Title to the Goods shall remain with the Seller until full payment has been received. 5.2. Until the title passes to the Buyer, the Seller retains the right to repossess the Goods at any time. If the Buyer fails to deliver the Goods upon request, the Seller may enter the Buyer's premises or any third-party premises where the Goods are stored to reclaim them. 5.3. Risk in the Goods passes to the Buyer upon delivery.
  6. Buyer's Obligations Until Transfer of Title 6.1. Until title to the Goods passes, the Buyer shall hold the Goods as the Seller's fiduciary agent and bailee. The Buyer must keep the Goods separate, properly stored, protected, insured, and clearly identified as the Seller’s property. 6.2. The Buyer may resell or use the Goods in the ordinary course of its business but shall account to the Seller for the proceeds of such sale or use.
  7. Pricing and Payment 7.1. The price of the Goods shall be the Seller’s quoted price. The Seller reserves the right to increase the price by giving written notice to the Buyer before delivery to reflect any increase in the cost to the Seller. 7.2. The Buyer shall pay the price of the Goods within thirty (30) days of the date of the Seller's invoice unless otherwise agreed in writing by the Seller. Time of payment is of the essence. 7.3. The Buyer shall not be entitled to make any deduction from the price of the Goods for any set-off or counterclaim unless both the validity and the amount thereof have been agreed in writing by the Seller.
  8. Storage Charges 8.1. If the Buyer fails to provide sufficient instructions for delivery within fourteen (14) days of the Seller notifying the Buyer that the Goods are ready for delivery, the Seller may arrange storage, and all charges for storage and insurance shall be payable by the Buyer in accordance with condition 7.2.
  9. Liability for Defects 9.1. The Seller shall not be liable for any defects in the Goods arising from any drawing, design, or specification supplied by the Buyer. 9.2. The Seller shall not be liable for any defects arising from fair wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow the Seller's instructions, misuse, or unauthorised alteration or repair of the Goods. 9.3. Except as provided under the Consumer Rights Act 2015 and other applicable legislation, all warranties, conditions, or other terms implied by statute or common law are excluded to the fullest extent permitted by law. 9.4. Where the Goods are sold under a consumer transaction, the statutory rights of the Buyer shall not be affected by these Conditions. 9.5. The Seller shall not be liable to the Buyer for any consequential or indirect loss, including loss of profit, costs, expenses, or other claims, except as expressly provided in these Conditions and to the extent permitted by law.
  10. Notices 10.1. Any notice or other communication given under this Contract shall be in writing and addressed to the party at its registered office or principal place of business. Notices may be delivered personally, sent by pre-paid first-class post, commercial courier, fax, or email.
  11. Governing Law and Jurisdiction 11.1. This Contract shall be governed by and construed in accordance with the laws of England and Wales. The Buyer and Seller irrevocably agree that the courts of England shall have exclusive jurisdiction to settle any disputes arising from or in connection with this Contract.
  12. Consumer Rights 12.1. The Consumer Contracts (Information, Cancellation, and Additional Charges) Regulations 2013 apply to this Contract. If the Buyer orders Goods via distance communication methods (e.g., telephone, internet, or fax), they may cancel the Contract within fourteen (14) days of receiving the Goods, provided the Goods are unused. 12.2. The Buyer must return the Goods at their own cost within fourteen (14) days, in their original condition and packaging, to receive a refund. If the Goods have been used, they will be deemed accepted by the Buyer. 12.3. These rights do not affect the Buyer’s statutory rights under the Consumer Rights Act 2015.
